    1. Effective Date

    These terms apply from March 1, 2026 onward.

    These Terms of Service ("Terms") are effective as of March 1, 2026. By accessing or using the Pocodot platform after this date, you agree to be bound by these Terms and all applicable laws and regulations.

    2. Agreement to Terms

    Summary

    Using Pocodot means you accept these terms - if you disagree, don't use the service.

    By creating an account, accessing, or using Pocodot ("the Service"), you agree to these Terms. If you do not agree, you may not use the Service. We may update these Terms from time to time. Continued use after changes means you accept the updated terms.

    If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

    3. Eligibility

    Summary

    You must be at least 18 (or the legal age in your jurisdiction) to use Pocodot.

    You must be at least 18 years old - or the age of legal majority in your jurisdiction - to create an account and use the Service. By using Pocodot, you represent and warrant that you meet this requirement.

    4. Account Registration & Security

    Summary

    Keep your credentials safe - you're responsible for everything that happens under your account.

    You are responsible for keeping your login credentials secure. If someone gains access to your account, activity under that account is your responsibility. We strongly recommend enabling multi-factor authentication (MFA).

    You must provide accurate information during registration and keep it up to date. We reserve the right to suspend accounts with false or misleading registration data.

    5. Description of Services

    Summary

    Pocodot is an AI agent marketplace - you deploy, manage, and monitor agents from one platform.

    Pocodot provides an AI agent marketplace and orchestration platform that lets you discover, deploy, configure, and manage AI agents. The Service includes:

    • Agent marketplace with verified and community-submitted agents
    • Agent deployment, configuration, and monitoring dashboards
    • Cole - an AI chief-of-staff agent for calls, tasks, and team coordination
    • Email agent infrastructure for inbox automation
    • Meeting summarization and workflow automation
    • Credit-based usage metering and billing
    • Team workspaces and collaboration features

    6. AI-Specific Terms

    Summary

    Agent outputs are tools, not guarantees - always review before acting. We don't train on your data.

    Output disclaimer. AI agents produce outputs based on the inputs, instructions, and models available. These outputs are informational tools - not professional advice. You are responsible for reviewing and validating all agent outputs before acting on them.

    Training opt-out. We do not use your data, inputs, or agent outputs to train, fine-tune, or improve AI models. Your content is processed solely to deliver the Service.

    Third-party models. Some agents may use third-party AI models (e.g., large language models). These providers process data under strict data processing agreements. We select providers who do not use customer data for model training.

    6A. Acting on Your Behalf

    Summary

    Cole can browse websites and sign in with logins you store. It asks before spending money, sending messages, or changing accounts. You can delete stored logins at any time.

    Browser sessions. When you ask Cole to visit a website, Cole may use a browser that Pocodot operates on its own servers. That browser keeps its own cookies and site logins between your requests so that it can continue a task without you signing in again. Each workspace has its own browser; browsers are never shared between workspaces.

    Actions Cole takes. Cole acts only on your instructions and within the settings you choose for your workspace. Before any action that spends money, sends a message or email, changes an account, or accepts terms on a website, Cole will ask you to approve it. You are responsible for the actions you approve. Cole is not appointed as your agent for any other purpose and does not enter into agreements on your behalf without your approval.

    Stored logins (Vault). You may store site logins in your workspace Vault so that Cole can sign in for you. You confirm that you are entitled to use each login you store and that storing it does not breach the terms of that site. Cole uses a stored login only on the site it was saved for, only when carrying out a task you asked for, and never shares it with third parties. You can delete a stored login at any time, and deletion is permanent.

    Payments. You may store a payment card so that Cole can complete a purchase for you. Cole only enters your card after you approve the exact total and merchant in chat, each payment is recorded in your workspace, and your monthly spending cap applies. You are responsible for purchases you approve. Refunds, returns and disputes are between you and the merchant; contact us if you believe Cole entered a payment you did not approve.

    Watches and triggers. You may ask Cole to check a public web page on a schedule and tell you when something changes, or to act when a trigger you control fires. Cole checks only the page you named, on the interval you chose, and stops when the watch fires, expires or you cancel it. Some websites block automated checks; Cole will tell you when it can no longer check a page rather than guessing.

    Calling Cole. If you call one of Cole's phone numbers from a number linked to your workspace, Cole answers and may act on what you ask in the same way it does in chat, including the approvals described above. Calls you make to Cole are billed by the minute in the same way as calls Cole makes for you.

    Limits. Websites change, block automated browsers, or require verification codes that Cole cannot obtain. Cole will tell you when it cannot complete a task rather than guessing.

    7. Marketplace & Third-Party Agents

    Summary

    Community agents are reviewed but not guaranteed - Pocodot is not liable for third-party agent behavior.

    The Pocodot marketplace includes agents built by Pocodot and by third-party developers. While we review submissions for quality and security, we do not guarantee the accuracy, reliability, or safety of third-party agents.

    You acknowledge that deploying a third-party agent is at your own risk. Pocodot is not liable for any damages arising from third-party agent behavior, outputs, or data handling.

    8. Acceptable Use

    Summary

    Use Pocodot lawfully - no spam, scraping, reverse-engineering, or building competing products.

    You agree to use the Service only for lawful business purposes. You must not:

    • Send spam, harass users, or distribute malicious content
    • Scrape data you don't own or have permission to access
    • Circumvent security measures, rate limits, or access controls
    • Attempt to reverse-engineer agent behavior or extract training data
    • Use the Service to build a competing product or service
    • Violate any applicable laws or regulations
    • Impersonate another person or entity

    We reserve the right to suspend or terminate accounts that violate these terms, with or without prior notice depending on severity.

    9. Intellectual Property

    Summary

    You own your data and agent outputs; Pocodot owns the platform, agents, and underlying technology.

    Your content. You retain ownership of all data you input and all outputs agents produce for you. We claim no ownership over your content.

    Our technology. The Service - including its agents, models, workflows, user interface, branding, and documentation - belongs to Pocodot. You receive a limited, non-exclusive, non-transferable license to use the Service while your account is active. You may not copy, modify, distribute, or create derivative works of our technology.

    Feedback. If you provide suggestions or feedback, we may use it to improve the Service without obligation to you.

    10. Payment & Billing

    Summary

    Plans are billed monthly or annually; token overages are billed at cycle end; 30-day notice for price changes.

    Paid plans are billed monthly or annually via Stripe. All fees are non-refundable except where required by law or as described below.

    Credits & tokens. The Service uses a credit-based metering system. Each plan includes a monthly credit allocation. Usage beyond your allocation is billed as overage at the end of each billing cycle at the rate shown on your pricing page.

    Price changes. We may change prices with at least 30 days' advance notice via email. Continued use after the effective date constitutes acceptance.

    Refunds. Refund requests are handled on a case-by-case basis. Contact billing@pocodot.ai within 14 days of the charge.

    11. Privacy

    Summary

    Your data is governed by our Privacy Policy - read it for the full picture.

    Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the practices described in our Privacy Policy.

    12. Disclaimers & Limitation of Liability

    Summary

    The Service is provided 'as is'; our total liability is capped at what you paid us in the last 12 months.

    As-is. The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

    Liability cap. To the maximum extent permitted by law, Pocodot's total aggregate liability arising out of or relating to these Terms or the Service is limited to the amounts you have paid us in the 12 months preceding the claim.

    Exclusions. We are not liable for indirect, incidental, special, consequential, or punitive damages - including lost revenue, lost data, lost profits, or business interruption - regardless of the theory of liability.

    13. Indemnification

    Summary

    You agree to defend us against claims arising from your misuse of the Service.

    You agree to indemnify, defend, and hold harmless Pocodot, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

    14. Termination

    Summary

    You can cancel anytime; your data stays exportable for 30 days after termination.

    By you. You may cancel your account at any time from your account settings. Cancellation takes effect at the end of your current billing period.

    By us. We may suspend or terminate your account if you violate these Terms, pose a security risk, or if required by law. We will provide notice unless immediate action is necessary.

    Data export. After termination, your data remains available for export for 30 days. After that period, it is permanently deleted from our systems (except where retention is required by law).

    15. Dispute Resolution

    Summary

    Disputes are resolved by binding arbitration under California law, with a 30-day opt-out window.

    Governing law. These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.

    Arbitration. Any dispute arising from these Terms or the Service will be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration will take place in San Francisco, California, or remotely at your election.

    Opt-out. You may opt out of arbitration by sending written notice to legal@pocodot.ai within 30 days of creating your account.

    Class action waiver. You agree that disputes will be resolved on an individual basis. You waive any right to participate in a class action, class arbitration, or representative proceeding.

    Nothing in these Terms limits your statutory consumer rights where prohibited by applicable law.

    16. Changes to These Terms

    Summary

    We'll give you 30 days' notice before material changes take effect.

    We may update these Terms as the product evolves. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. If you disagree with changes, you may close your account before the effective date.
